Where Unlisted Arena Investments is unable to complete the proposed transaction due to operational, regulatory, documentation-related, availability-related or other legitimate reasons, the amount actually received towards the proposed transaction shall ordinarily be refunded within two (2) working days.
Unless otherwise required by applicable law or expressly agreed in writing, such refund shall be limited to the principal amount actually received by Unlisted Arena Investments, without any obligation to pay interest, compensation, consequential damages or any other amount.
Unlisted Arena Investments reserves the right to suspend, postpone, cancel or discontinue any proposed transaction, whether before or after receipt of payment, where completion of the transaction is not reasonably possible or appropriate.
Without limiting the generality of the foregoing, a proposed transaction may be suspended, postponed or cancelled due to, among other things:
Where Unlisted Arena Investments is unable to complete a proposed transaction for legitimate reasons, the principal amount actually received towards the proposed transaction shall ordinarily be refunded within two (2) working days.
Where a refund is made in connection with a cancelled, failed or incomplete transaction, Unlisted Arena Investments shall not be liable for any subsequent or intervening change in the price or value of the relevant securities, loss of opportunity, anticipated profit or other market-related loss arising from the non-completion of the transaction.
Refunds shall ordinarily be processed through the original payment method wherever reasonably practicable. However, Unlisted Arena Investments may process a refund through another lawful payment method where reasonably necessary due to banking, regulatory, compliance or operational requirements.
Nothing contained in this Section shall oblige Unlisted Arena Investments to complete a transaction that cannot lawfully or reasonably be completed.
